Terms of Service

1. Who we are and what these terms cover

This Site is operated by Excellent Era LLC, a California limited liability company trading as Toka, at 10621 Lawson River Ave, Fountain Valley, California 92708, United States. In these terms, "we", "us" and "our" mean Excellent Era LLC; "you" means you, the person using the Site or buying from us; and the "Service" means the Site and everything we offer through it.

By using the Site or placing an order, you agree to these terms and to the policies referred to in them: our Returns and Refunds policy, Shipping policy, Cancellations policy and Privacy policy. If you do not agree, please do not use the Site.

Our store is hosted by Shopify Inc., which provides the ecommerce platform we sell through.

2. Using the Site

You must be at least the age of majority where you live, or have the consent of a parent or guardian.

You agree not to use the Site for anything unlawful, to break any law that applies to you, to upload malware, to scrape or spider the Site, to harass or abuse anyone, to impersonate another person, to collect other people's personal information, or to interfere with the Site's security. We may suspend or end your access if you do.

We may refuse service to anyone, at any time, for any lawful reason.

3. Orders, pricing and availability

Your order is an offer to buy. We accept it when we dispatch the goods, and until then we may decline or cancel it — for example if the item is out of stock, if there was a pricing or description error, or if we suspect fraud. If we cancel, we refund you in full.

We may limit quantities per person, household or order, and we may limit or refuse orders that appear to come from dealers or resellers. Prices, promotions and product descriptions can change at any time without notice.

Please keep your account and billing details accurate and up to date so we can complete your order and reach you if there is a problem.

Occasionally the Site contains typographical errors, inaccuracies or omissions about products, pricing, shipping charges, transit times or availability. We may correct these and change or cancel affected orders, including after you have ordered, and we will tell you if we do.

4. Products, colors and handmade variation

We try hard to show colors and finishes accurately, but screens differ and we cannot guarantee your display is exact. Embroidered products are often shown using computer-generated mockups; these indicate the design, not an exact match for thread color or stitch weight.

Several of our products are made or finished by hand. Minor variation between pieces is a feature of that process, not a fault. If you think something is genuinely flawed, send us a photo at support@toka.co and we will sort it out under the warranty and returns terms below.

5. Our 1-year warranty on hardware and stitching

We warrant that, for one year from the date of delivery, the hardware and stitching on our bags and accessories will be free from manufacturing and material defects in normal use. Hardware means zips, buckles, clips, sliders and strap fittings; stitching means the seams and their construction.

If something covered fails within that year, email support@toka.co with photos and your order number, and we will repair, replace or refund the item at no cost to you, at our option. The warranty does not cover normal wear, fading, accidental damage, or damage caused by misuse, modification or improper care.

This warranty is given in addition to, and does not replace, your legal rights.

6. Delivery, risk and Secure Checkout+

6.1 When your order becomes your responsibility

Your order is our responsibility until it is delivered to the address you gave us. If it is lost in transit and never delivered, that is on us, and we will replace or refund it whether or not you bought Secure Checkout+. Once it has been delivered, it is yours, and what happens to it after that is not something we are responsible for.

Secure Checkout+ does not change the first half of that. It is not a substitute for rights you already have. What it does is extend our responsibility past the point of delivery and into situations that would otherwise be yours to carry, and it lets us resolve all of it quickly instead of waiting on a carrier.

6.2 What Secure Checkout+ is

Secure Checkout+ is an optional paid service we offer at checkout. It is a commitment by us to replace or refund certain orders on the terms in this section 6.

Secure Checkout+ is not insurance, and we are not an insurer. It creates no policy, no coverage and no rights against any third party. Your only rights under Secure Checkout+ are against us, under this section 6, and they sit on top of the rights you already have under section 5, our Returns and Refunds policy and the law.

6.3 Eligibility and the fee

Secure Checkout+ applies only to the order it was bought on, and only if the fee was paid in full. The fee depends on the size of your order and is shown at checkout before you pay. It cannot be added to an order after that order has been placed.

The fee is non-refundable once your order has been dispatched, including where you make no claim. This does not affect any right you have under mandatory consumer law that cannot be excluded, including the EU and UK rights described in section 17.

6.4 What Secure Checkout+ covers

With Secure Checkout+ on your order, we will also honor claims that:

  • your order was delivered but stolen or otherwise went missing after delivery;

  • your order went to the wrong place because the address entered at checkout was wrong;

  • your order arrived damaged in transit — rips, tears, fire damage, or water damage that leaves an item unusable; or

  • you paid a handling or restocking fee on a return, in which case we refund it on request.

6.5 How we resolve a claim

Where we approve a claim, we reship the affected items at no cost to you. If those items are no longer available, we will offer you a refund or store credit, whichever you prefer. We may refund instead of reshipping where reshipping is impractical. If a replacement turns out not to suit you, you can send it back and we cover the return shipping.

Our total liability under Secure Checkout+ for any order is the amount you paid for the affected items, excluding shipping and the Secure Checkout+ fee, and is subject to section 15.

6.6 Filing a claim

Submit a claim within 30 days of the delivery date or, where your order was never delivered, within 30 days of the last tracking update. Damage claims need clear photographs of the item and, where you still have it, the packaging.

We may ask you to confirm in writing that an order did not arrive. For orders above a value we set from time to time, we may ask for a carrier claim or a police report before we resolve a claim. We aim to resolve most claims within 24 hours of receiving what we need.

6.7 What Secure Checkout+ does not cover

Secure Checkout+ does not cover:

  • the handmade and color variation described in section 4, or minor variation in embroidery;

  • normal wear, or damage you cause after delivery;

  • items that are wet or marked but still usable;

  • manufacturing defects, which are covered instead by the warranty in section 5;

  • delivery you refused, or a package you rerouted, held or released through the carrier;

  • orders held, seized or destroyed by customs, or unpaid duties, which are dealt with in section 18;

  • orders that could not be delivered because the address was invalid or incomplete and you did not reply when we contacted you; and

  • change of mind, which is dealt with in our Returns and Refunds policy.

6.8 Fair use

Secure Checkout+ exists to resolve genuine delivery failures. We may decline a claim, and may decline to sell Secure Checkout+ on future orders, where we reasonably believe a claim is fraudulent, where the same customer or address files claims at a rate materially out of line with normal delivery outcomes, or where the claim relates to an order for which you have already sought a chargeback or a remedy under section 5. You may not recover twice for the same item.

6.9 If this page and our marketing disagree

Where the description of Secure Checkout+ elsewhere on the Site differs from this section 6, this section 6 governs. Nothing in it limits any right you have under section 17.3 or under law that cannot be excluded.

7. Free gifts

Gifts with purchase are offered when an order meets a spend threshold, while stocks last, and are optional — you can decline one at checkout.

If you return part of your order and what remains no longer meets the threshold, return the gift as well; if you keep it, we deduct its retail value from your refund, as set out in the Returns and Refunds policy. If a gift is out of stock, we may substitute a comparable alternative.

Gifts are not sold to you and are not separately refundable, but if a gift arrives faulty or damaged we will replace it or take it off your hands — we are not going to argue with you about a free item that was broken when it turned up.

8. Pulls™ program terms

By buying a Pulls™ token or taking part in the Pulls™ program, you agree to the following. Pulls™ is the only name for this program; older names used elsewhere refer to the same thing.

8.1 Who can play

Pulls™ is for players aged 18 or over. By buying a Pulls™ token or taking part in the Pulls™ program, you confirm that you are at least 18 years old. Where the age of majority where you live is higher than 18, that higher age applies to you instead. If we have reason to believe a buyer is under the required age, we may cancel the order, void any unused tokens and refund what was paid for them, and we may bar the account from taking part in future.

8.2 Play responsibly

Taking part is voluntary and entirely at your discretion. Please treat it as entertainment and spend accordingly.

8.3 Tokens are non-refundable

Pulls™ token purchases are final and non-refundable, including unused tokens, accidental purchases, dissatisfaction with a prize outcome, and changes to the program. This does not affect any right you have under mandatory consumer law that cannot be excluded, including the EU and UK rights described in section 17.

8.4 Every play wins, and every prize is worth at least the price of the token

There is no losing outcome. Every Pulls™ play returns a prize, and every prize has a retail value equal to or greater than the price of the token used to obtain it. Retail value means the price at which we offer, or have offered, that item for sale on this Site.

8.5 Prizes and odds are shown before you buy

The prize pool and the probability of each prize are displayed on the Site before you purchase a token. The odds shown at the moment you buy are the odds that apply to that play.

8.6 Changes to the prize pool

We may add prizes to, or remove prizes from, the pool, and the probability of a particular prize may change. Any change applies only to plays made after it takes effect — it never changes the odds of a play you have already made, and the displayed prize pool and probabilities are always updated before a change takes effect. Section 8.4 continues to apply to every play: whatever the pool contains, the prize you receive is worth at least the price of the token you spent.

8.7 What is and is not guaranteed

You are guaranteed a prize, and you are guaranteed that it is worth equal to or greater than the token price. You are not guaranteed any particular prize — which prize you receive is determined at random, at the published probabilities in effect when you play.

8.8 Token validity

Pulls™ tokens do not currently expire. If we ever introduce an expiry, tokens are guaranteed to remain valid for at least one year from the date of purchase, we will publish the change before it takes effect, and it will apply only to tokens bought after that date.

8.9 Fraud

We may cancel, void or refuse any token order we believe was obtained fraudulently, paid for with stolen payment details, or connected to a chargeback or other suspicious activity, and we may bar the account from taking part in future.

8.10 Redeemed prizes

Once a prize is redeemed it cannot be returned or exchanged, except where it arrives faulty, damaged or not as described, in which case the Returns and Refunds policy applies in full.

9. Intellectual property

The Site and everything on it — our product designs, artwork, embroidery and print designs, photographs, text, graphics, page layouts, software, and the Toka and Pulls™ names and logos — are owned by Excellent Era LLC or our licensors and are protected by copyright, trademark and other laws.

We give you a personal, non-exclusive, non-transferable, revocable license to view and use the Site to shop with us. You may not copy, reproduce, republish, sell, resell, distribute, or create derivative works from any part of the Site or our designs without our written permission, and you may not reproduce our artwork on merchandise of any kind.

Buying a product gives you ownership of that physical item. It does not transfer any rights in the design printed, embroidered or built into it.

10. Things you send us

If you send us ideas, suggestions, designs, reviews, photos or other material, whether we asked for it or not, you grant us a worldwide, royalty-free, perpetual license to use, edit, reproduce and publish it, in any medium, without payment or attribution. We are not obliged to keep it confidential, pay for it, or reply to it.

You are responsible for what you send. It must be yours to send, must not infringe anyone's rights, and must not be unlawful, abusive, obscene, defamatory or misleading. We may remove any content at our discretion.

11. Your personal information

How we handle your personal information is set out in our Privacy policy, which includes your rights under California, EU and UK law and how to opt out of the sale or sharing of your information for advertising.

12. Third-party tools and links

The Site uses third-party tools and links to third-party websites that we do not control. We provide access to them as-is, we do not endorse them, and we are not responsible for their content, accuracy or practices. Use them at your own discretion and read their terms. Complaints about a third party's product should go to that third party.

13. Changes to the Service

We may change, suspend or discontinue any part of the Service at any time. We are not liable for doing so, but this does not affect orders you have already placed and paid for — if we cannot fulfil an order, we refund it.

14. Disclaimer of warranties

Except for the 1-year hardware and stitching warranty in section 5, the Secure Checkout+ commitments in section 6, and except for rights you have under law that cannot be excluded, the Site and the Service are provided "as is" and "as available", without warranties or conditions of any kind, express or implied. We do not warrant that the Site will be uninterrupted, timely, secure or error-free, or that any results obtained from it will be accurate or reliable.

For clarity: nothing in this section limits or excludes the warranty in section 5, our obligations under section 6, the remedies for faulty or damaged goods in our Returns and Refunds policy, or the statutory rights of consumers in the EU, the UK or any other market where those rights cannot be waived.

15. Limitation of liability

To the fullest extent the law allows, we are not liable for indirect, incidental, special, punitive or consequential damages, or for lost profits, lost revenue, lost savings or loss of data, arising out of your use of the Site or any product bought through it.

Our total liability to you for any claim relating to a product or order is limited to the amount you paid for that product or order.

Nothing in these terms excludes or limits our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot lawfully be excluded — including, for consumers in the EU and the UK, liability for defective products and for goods that are not as described or not of satisfactory quality.

16. Indemnification

You agree to indemnify and hold harmless Excellent Era LLC and its members, officers, employees, agents and suppliers from any third-party claim, including reasonable legal fees, arising from your breach of these terms or your violation of any law or third-party right. This does not apply to claims arising from our own acts or omissions.

17. Governing law, disputes and consumer rights

17.1 Talk to us first

If something goes wrong, email support@toka.co with your order number and what you would like us to do. We will try to resolve it within 30 days. Most disputes end here, and this step costs you nothing.

17.2 Governing law and courts

These terms are governed by the laws of the State of California, without regard to its conflict-of-laws rules. Any dispute that we cannot resolve informally will be brought in the state or federal courts located in Orange County, California, and you and we consent to the jurisdiction of those courts. Either of us may still bring a qualifying claim in small claims court.

17.3 Consumers in the EU and the UK

If you are a consumer resident in the European Union or the United Kingdom, section 17.2 does not take away rights you have under the mandatory consumer law of your home country. You keep the protection of those mandatory rules, and you may bring proceedings in the courts of your country of residence. This includes your 14-day right of withdrawal, your rights in respect of faulty goods, and your data protection rights, all of which are described in the policies linked above.

18. Import duties and customs

International orders may attract import duties, taxes or customs charges set by your country. Where these are not collected at checkout, they are your responsibility, and we cannot control or predict them. Duties and shipping are covered in more detail in our Shipping policy.

19. Text messages

If you sign up for our text messages, our SMS provider's Messaging Terms and Messaging Privacy Policy apply alongside these terms. Reply STOP at any time to opt out.

20. General

Termination. These terms apply until either of us ends them. You can end them by ceasing to use the Site. We can end them, and withdraw your access, if you breach them. Obligations incurred before termination survive it.

Severability. If any provision is held unenforceable, it is severed and the rest stays in force.

No waiver. If we do not enforce a right, we have not waived it.

Entire agreement. These terms, together with the policies they link to, are the whole agreement between us about the Service, and replace any earlier version. Any ambiguity will not be read against either of us simply for having drafted it.

Changes. We may update these terms by posting a new version on this page, with a new date at the bottom. Changes are not retroactive: the version in force when you placed your order governs that order.
